We requires a Legal Specialist to provide essential advisory services to the 9 social enterprises. The consultant will guide these youth-led businesses through the process of formalization, ensuring they understand and comply with Pakistani legal and regulatory requirements, thus establishing a strong foundation for growth, investment, and long-term sustainability.

Objective:
The objective of this consultancy is to equip the founders of the social enterprises with the knowledge and practical steps needed to formally register and structure their businesses. This will protect their ventures legally, enhance their credibility, facilitate access to formal financial services (like business bank accounts), and prepare them for future contracts and growth.

Roles and Responsibilities:
The Legal Specialist will be responsible for the following:

1. Conduct Legal Diagnostics: Assess the current legal status and structure of each of the enterprises.
2. Deliver Masterclass: Conduct a comprehensive masterclass for the enterprises covering:

• Business Structures: deliver a session on different types of business registrations. Explanation of suitable legal structures in Pakistan (e.g., Sole Proprietorship, Private Limited Company, single member company) and their implications, compliances keeping in view the special status of Swat and the legalities of Pakistan in business registration
• Registration Process: Step-by-step guidance on how to register with the relevant authorities (e.g., Securities and Exchange Commission of Pakistan (SECP)/ Registrar of Firms), documents required
• Trade Bodies: Orient the trainees on the trade bodies relevant to their businesses such as Chambers of Commerce, KPITB, Associations, their registration and fee requirements.
• Compliance Overview: Introduction to key legal compliances, including tax registration (NTN), and how to file tax returns. Any sector-specific licenses (e.g., tourism license, food handling license from the Punjab Food Authority relevant for KP). IF needed support the enterprises in NTN registration.
• Basic Contract Essentials: Fundamentals of drafting simple client and vendor agreements to protect their interests. Review partner contracts and provide legal guidance on partner onboarding.

3. Provide One-on-One Advisory Sessions:
• Guide each enterprise through the specific registration process most relevant to their business model and scale.
• Advise on the specific licenses required for their industry (e.g., tourism services, food production, water purification).
• Support the documentation required for opening a business bank account.
4. Develop a Legal Checklist: Provide each enterprise with a tailored checklist outlining the specific steps/documents they need to become fully formalized.
5. If at any stage, registration with any legal entity is required, lead to provide legal support in getting the registrations.

Term of Payments:

Payment will be released in two instalments, based on deliverables:

• 50% by October 15, 2025
• Remaining 50% by January 2026
